Mark Hooley (LinkedIn) has over 20 years experience practicing law and operating businesses.  Mr. Hooley spent more than seven years at large Minneapolis law firms practicing primarily in the areas of general business law, mergers and acquisitions, securities law, corporate law, franchise law and tax law.

Mr. Hooley has also operated companies in the industries of equipment finance, franchising and real estate development.  Mr. Hooley also has a significant amount of experience advising and operating distressed businesses. Founder, owner and operator of Insitu Law, PLC (2009 – Present).

Former General Counsel, Winmark Corporation (Nasdaq: WINA)

Winmark is the franchisor of Play It Again Sports®, Once Upon a Child®, Plato’s Closet®, and Music Go Round®.  Mr. Hooley was a member of the senior management team at Winmark.  The team’s efforts resulted in a turn around of the failing franchisor and a significant increase in shareholder value.

Worked as an attorney in the Minneapolis offices of Briggs and Morgan and Mackall, Crounse & Moore.  Practice focus included:

Chief Operating Officer and General Counsel, High-end Second Home community in Rocky Mountains

Mr. Hooley managed all aspects of the 7,000 acre high-end second home development. He negotiated and closed a $51 million credit facility with the lender. During a time of significant distress in the real estate market and the development, he was able to maintain a very solid working relationship with the lender. He also handled all legal and business issues arising out of construction of a Rees Jones Championship Golf Course and members’ lodge.
